These Terms of Service ("Terms") govern your access to and use of SonIQ, a VS Code extension and related services provided by SonIQ ("Company", "we", "us", or "our"), accessible at soniqcloud.com. By using SonIQ, you agree to be bound by these Terms. If you do not agree, do not use the Service.
SonIQ is a Visual Studio Code extension that provides an AI-powered chat assistant with persistent memory capabilities. The Service includes:
The Service operates on a Bring Your Own Key ("BYOK") model. You must provide your own API keys from supported AI providers (Anthropic and/or OpenAI) to use the AI chat functionality. SonIQ does not include AI inference costs in its subscription pricing.
All services are delivered electronically via the VS Code extension and our web-based backend infrastructure. No physical goods are provided. By purchasing a subscription, you acknowledge that the Service is delivered digitally and that you are purchasing access to a software service.
To use SonIQ, you must create an account by providing a valid email address and login credentials. You are responsible for:

SonIQ is offered as a monthly subscription at $10/month, billed monthly. Subscriptions are sold by Paddle.com Market Limited, which acts as Merchant of Record for all transactions. Paddle handles checkout, invoicing, tax collection, and payment processing.
New users are eligible for a 7-day free trial with full access to all features. A valid payment method is required to start the trial. You will not be charged during the trial period. Unless you cancel before the end of the trial, your subscription will begin automatically at $10/month and will renew monthly until canceled. If you cancel during the trial, you will not be charged.
Your first paid billing period begins automatically when the 7-day free trial ends, unless you cancel before that time. After that, your subscription renews automatically each month at $10/month until canceled. Paddle handles billing, invoicing, tax calculation, and payment processing on our behalf.
You may cancel your subscription at any time through your billing area or by using the billing links in your Paddle purchase receipt. If you need assistance, you may also contact support@soniqcloud.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of that period, and no further charges will be made after cancellation.
Refunds are handled in accordance with Paddle's applicable refund policy and your consumer rights under applicable law. If you were charged in error, experienced a technical issue that prevented use of the service, or wish to exercise a withdrawal right available under applicable law, you may request a refund by contacting support@soniqcloud.com or Paddle via the billing links in your purchase receipt. SonIQ requires you to provide your own API keys from third-party AI providers (Anthropic and/or OpenAI) to access AI chat functionality.
You agree not to use SonIQ to:
The Service, including its source code, design, branding, and documentation, is the property of SonIQ and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
You retain ownership of all content you create, upload, or store through the Service, including chat messages, memory entries, and project data.
Your use of SonIQ is also governed by our Privacy Policy Refund Policy Contact, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.
We store your account information, chat messages, and memory entries on our servers to provide the Service. You may request deletion of your data at any time by contacting support@soniqcloud.com.
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may temporarily suspend access for maintenance, updates, or other operational reasons. We will make reasonable efforts to notify users of planned downtime in advance.
To the maximum extent permitted by applicable law:
You agree to indemnify and hold harmless SonIQ, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
We may suspend or terminate your access to the Service at any time, with or without notice, if:
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will remain in effect.
If we terminate your account without cause, we will provide a pro-rated refund for any unused portion of your current billing period.
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 7 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in Ukraine.
